Terms of Service

These Terms govern your access to and use of Serica AI, operated by Super Individual LLC (“Serica,” “we,” “us,” or “our”). By using the Services, you agree to these Terms.
1. Definitions
Capitalized terms include Authorized User, Content, Customer Data, Documentation, Fees, Inputs, Outputs, and Third-Party Offering, each used as defined in these Terms.
2. The Services
- We grant you a non-exclusive, non-transferable, revocable license to access the Services for your internal business purposes.
- Third-party models are subject to their providers' separate terms, and we disclaim responsibility for those offerings.
- We may modify the Services, with advance notice for any material reduction in functionality.
3. Accounts and access
- Registration requires accurate information via email or an identity provider.
- You are responsible for the security of your credentials and for activity under your account.
- You must have authority to bind yourself or your organization to these Terms.
- We may suspend access for breach, security risk, or to comply with law.
4. Fees, credits, and payment
- Fees exclude taxes, which are your responsibility.
- Credits may be non-refundable except where the law requires otherwise.
- Third-party payment processors apply their own terms.
- We may change prices with reasonable advance notice.
5. Customer Data and license
- You retain ownership of your Inputs and Outputs.
- You grant us a license to process your data solely to provide and improve the Services.
- We do not use your Customer Data to train foundation models.
- You represent that you have the necessary rights and consents to submit your data.
6. Acceptable use
You may not use the Services for unlawful content, to breach security, to disrupt the Services, to circumvent billing, to generate harmful Content, for high-risk use without human oversight, or for unauthorized redistribution.
7. Intellectual property
- We own the Services and Documentation; no rights are transferred except the limited license above.
- If you give us feedback, you grant us a perpetual, irrevocable, royalty-free license to use it.
8. Confidentiality
Each party will protect the other’s non-public information with reasonable care, subject to standard exceptions for information that is public, independently developed, or lawfully received.
9. Disclaimers
The Services are provided “AS IS” and “AS AVAILABLE.” We disclaim warranties of merchantability, fitness for a particular purpose, and accuracy. AI outputs may be incorrect or harmful, and you are responsible for reviewing them before use.
10. Limitation of liability
- We are not liable for indirect, consequential, or punitive damages.
- Our total liability is capped at the greater of the Fees you paid in the prior six months or $100.
- Nothing here limits liability that cannot be limited by law, including for fraud or gross negligence.
11. Indemnity
You will indemnify us against third-party claims arising from your Customer Data, your breach of these Terms, or your violation of law.
12. Term and termination
- These Terms apply from your first use until terminated.
- You may request deletion of your account at any time.
- We may suspend or terminate for breach, risk, non-payment, or legal requirement.
- Sections that by their nature should survive termination will survive.
13. Export and sanctions
You represent that your use complies with applicable export control and sanctions laws.
14. Government users
The Services are “commercial computer software” under FAR and DFARS, licensed to government users with only the rights granted to all other users.
15. Changes to these Terms
We may update these Terms with reasonable notice for material changes. Continued use after changes take effect constitutes acceptance.
16. General
- These Terms, with the Privacy Policy and any order forms, are the entire agreement.
- You may not assign these Terms without our consent; we may assign in connection with a merger or sale.
- Legal notices may be sent to support@sericai.com.
- If any provision is unenforceable, the rest remains in effect.
- Our failure to enforce a provision is not a waiver of it.
17. Governing law and dispute resolution
- These Terms are governed by the laws of the State of Nevada, and the Federal Arbitration Act applies.
- Disputes are resolved by binding arbitration administered by the AAA in Clark County, Nevada.
- Either party may instead bring a qualifying claim in small claims court in Clark County.
- Disputes must be brought individually; class actions are waived.
- Either party may seek injunctive relief in state or federal courts in Clark County, Nevada without first arbitrating.
